Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, platforms, applications, and services (collectively, the "Services") operated by Halitta Group and its affiliates ("Halitta," "we," "us," or "our"), including Halitta Labs, Halitta Academy, Halitta Startups, and Halitta AI. By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance and Eligibility

By creating an account, visiting our websites, or using any of our Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. You must be at least 16 years of age (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Halitta provides a pan-African technology ecosystem that includes digital product development (Halitta Labs), technical and professional education (Halitta Academy), startup incubation and support (Halitta Startups), and AI-powered tools and solutions (Halitta AI). Specific features, eligibility, and terms for particular programs or products may be set out in separate agreements, program rules, or on the relevant product pages.

3. Account Registration and Security

You may need to register for an account to access certain Services. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use or security breach.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Violate any applicable laws, regulations, or third-party rights.
  • Use the Services to harm, harass, defame, or discriminate against others.
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts.
  • Transmit malware, spam, or any content that is fraudulent, obscene, or otherwise objectionable.
  • Scrape, copy, or resell our content or data without our written permission.

We reserve the right to suspend or terminate your access and to remove content that we determine, in our sole discretion, violates these Terms or is harmful to our community or Services.

The Services, including their design, text, graphics, logos, software, and other content (excluding user-generated content), are owned by Halitta or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent, except as expressly permitted (for example, where we grant a limited license to use course materials for personal learning). Trademarks and logos of Halitta and our programs may not be used without our permission.

If you submit feedback, ideas, or other content to us, you grant Halitta a non-exclusive, royalty-free, worldwide license to use, modify, and incorporate such content for the purpose of improving our Services, unless we agree otherwise in writing.

6. User Content and Conduct

You retain ownership of content you create, upload, or post through the Services ("User Content"). By submitting User Content, you grant us a license to host, display, and use it as necessary to provide and improve the Services. You represent that you have the right to submit such content and that it does not infringe any third-party rights or violate these Terms. We may remove User Content that we believe violates our policies or applicable law.

7. Payments and Refunds

Some Services require payment. Fees, billing cycles, and payment terms will be disclosed before you complete a purchase or enrollment. You agree to provide valid payment information and authorize us to charge you according to the agreed terms. Refund policies vary by product or program and will be stated at the point of purchase or in the relevant program terms. We reserve the right to change fees with reasonable notice where permitted by law.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We are not responsible for the accuracy or reliability of third-party content or external links. Outcomes from our training, incubation, or AI tools depend on many factors; we do not guarantee specific results, employment, or business success.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Halitta and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of the Services or these Terms. Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred (100) USD if no payment was made. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability will be limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Halitta and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your User Content, your violation of these Terms, or your violation of any third-party rights.

11. Dispute Resolution and Governing Law

These Terms are governed by the laws of the jurisdiction in which Halitta Group is established, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it may be submitted to binding arbitration or the exclusive jurisdiction of the courts in that jurisdiction, as specified in the applicable law. You waive any right to participate in class actions where permitted by law.

12. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not waive that right or provision. We may assign our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our prior written consent. These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Halitta regarding the Services.

13. Changes to the Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or a prominent notice within the Services. Your continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
